FramRise Terms of Service

Welcome to FramRise (the "Service"), a subscription-based platform operated by Actoli LLC ("Actoli," "we," "our," or "us"). By accessing or using the Service, you ("you," "your," or "User") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. You must be at least 16 years of age, or the age of majority in your jurisdiction, whichever is greater, or have obtained verifiable parental consent to use the Service. These Terms form a legally binding contract between you and Actoli.

We may revise these Terms from time to time. Material changes will be communicated via email or through the Service. Unless otherwise stated, modified Terms will take effect upon posting. Your continued use of the Service constitutes your acceptance of the updated Terms.

FramRise provides subscribers with access to a library of AI‑generated video transition assets (collectively, "Assets") for use in video editing software such as CapCut, TikTok and Instagram Reels. The Service offers unlimited downloads during an active subscription. Assets are supplied in digital format only; no physical goods are provided. Actoli may modify, improve, suspend or discontinue the Service or any Assets at any time without liability.

You must create an account to use the Service. You agree to provide accurate, current and complete information during registration and to keep your information up to date. You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorised use of your account. We reserve the right to suspend or terminate your account if we reasonably suspect that the information you provided is inaccurate or that your account is being used in violation of these Terms or applicable laws.

4.1 Plans and Fees
The Service is offered on a monthly subscription basis. The standard price is USD 9 (tax inclusive where applicable) per month, billed via our payment processor (Stripe). Prices may change in the future; any changes will apply from your next billing cycle after we provide reasonable notice.

4.2 Free Trial
New users are eligible for a 7‑day free trial with unlimited downloads. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

4.3 Automatic Renewal
Subscriptions automatically renew on the same calendar day each month. You may cancel at any time by logging into your account and following the cancellation instructions. Cancellation is effective at the end of the current paid period; we do not refund unused portions of your subscription.

4.4 Payment Processing
Payments are processed securely by Stripe. We do not store or process your credit card information. You authorise Stripe to charge your payment method for subscription fees and applicable taxes. If a payment fails, we may suspend access until payment is received.

5.1 Your Right to Cancel
You may cancel your subscription at any time from your account settings. If you cancel during the free trial, you will not be charged. If you cancel after your subscription converts to a paid plan, cancellation takes effect at the end of the current billing period; you will retain access until then. Because our products are digital, we do not provide partial month refunds or credits.

5.2 Termination by Actoli
We may suspend or terminate your account immediately if we reasonably believe you have violated these Terms, applicable law, or the rights of any third party, or if we discontinue or materially alter the Service. Where feasible, we will provide notice. If we terminate without cause, we will refund any prepaid fees covering the remainder of your subscription period on a pro‑rata basis.

6.1 Ownership
All Assets and other content available through the Service, including without limitation text, graphics, images, audio, video and software, are owned by or licensed to Actoli and are protected by intellectual property laws. You acknowledge that Actoli retains all rights, title and interest in and to the Service and Assets.

6.2 Licence to Use Assets
During your active subscription, Actoli grants you a limited, non‑exclusive, non‑transferable, revocable worldwide licence to download and use the Assets in your own video projects, including commercial projects. This licence allows you to edit, combine and synchronise the Assets with your own audiovisual content and to distribute resulting works on video platforms and social media. No attribution is required.

You may continue to use completed video projects that incorporate the Assets after your subscription ends. However, you may not download new Assets after cancellation.

6.3 Licence Restrictions
You may not:
• Resell, redistribute, sublicense or make the Assets available as standalone files or templates;
• Share the Assets or your account credentials with third parties;
• Use the Assets to create or offer a competing service or product;
• Use the Assets in a way that is defamatory, obscene, hateful, discriminatory, illegal or infringes third‑party rights;
• Register any Asset or derivative works thereof as a trademark or claim exclusive ownership;
• Use the Assets to train or improve artificial intelligence or machine learning models;
• Remove any visible watermarks or metadata (if present) without permission.

You agree that you will only use the Service and the Assets in accordance with applicable laws and regulations. You are solely responsible for ensuring that any content you create complies with platform policies (e.g., TikTok community guidelines) and does not violate intellectual property rights, privacy rights or other legal rights. Actoli does not review or endorse your video projects. If we receive notice of alleged infringement relating to content created using the Service, we may remove the content or suspend your account as required by law.

The Service and Assets are provided "as is" and "as available." To the fullest extent permitted by law, Actoli disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non‑infringement, and that the Service will be uninterrupted, error‑free or secure. Assets are generated by artificial intelligence; we make no representations that they will be suitable for your specific purposes or that they will not be similar to content produced for other users.

To the maximum extent permitted by law, Actoli and its directors, officers, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill arising from your use of the Service. Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us in the three (3) months preceding the event giving rise to the claim.

You agree to indemnify, defend and hold harmless Actoli and its officers, directors, employees and agents from and against all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the Service or Assets; (b) your violation of these Terms; or (c) your violation of any rights of a third party.

These Terms are governed by the laws of Japan, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court, unless otherwise required by applicable consumer protection laws.

Entire Agreement. These Terms constitute the entire agreement between you and Actoli regarding the Service and supersede all prior agreements or communications.

Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Actoli may assign these Terms in the event of a merger, acquisition or sale of assets.

No Waiver. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
